1. Acceptance of Terms

By accessing or using QuoteZen (“Service”), you agree to be bound by these Terms of Service (“Agreement”). If you do not agree, do not use the Service.

2. License and Use Restrictions

Zenova Technologies LLC (“Zenova”) grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service within the scope authorized by your organization’s licensed instance (the “Customer Instance”).

You may not:

Reverse engineer, modify, or create derivative works based on the Service.
Access or attempt to access any data, content, or systems outside of your assigned Customer Instance.
Use the Service for unlawful purposes or in violation of any applicable laws.
Resell, sublicense, or distribute the Service or its data without written authorization from Zenova.

3. Account Registration and Security

You agree to provide accurate and complete registration information and maintain the confidentiality of your account credentials. You are responsible for all activities under your account and must promptly notify your administrator or Zenova of any unauthorized access or use.

4. Relationship to Licensed Customer

If you are using the Service under a white-labeled instance administered by a licensed customer (“Licensed Customer”), your access and use of the Service are governed both by this Agreement and the Licensed Customer’s administrative policies.

The Licensed Customer, as administrator of the instance, may have visibility and access to all data generated or submitted by users within that instance. Zenova is not responsible for the internal data management practices or user permissions controlled by the Licensed Customer.

5. Data Privacy, Access, and Ownership

Customer Instance Data – All data generated, submitted, or stored within a Customer Instance is accessible to that instance’s administrator(s) and authorized users only. You acknowledge that Licensed Customers (administrators) have access to all data created or shared within their respective instance.
No Cross-Instance Access – You may not access, share, or use data from other Customer Instances. Your data remains isolated within the instance to which you belong.
Data Ownership – All data, including user-generated content, system data, and analytics, remain the sole property of Zenova Technologies LLC. Users and Licensed Customers are granted access rights under license but do not acquire ownership.
Use of Aggregated Data – Zenova may use anonymized or aggregated data from all instances for system performance, analytics, benchmarking, or product improvement. This data will not identify you or your organization.
Privacy and Security – Zenova implements commercially reasonable security measures to protect all Customer Data, as further described in its Privacy Policy.

6. Intellectual Property

All intellectual property rights in the Service, including software, content, and trademarks, remain the property of Zenova Technologies LLC. Nothing in this Agreement grants you ownership rights or any rights beyond the licensed access provided.

7. Termination

Zenova may suspend or terminate your account access at any time for violation of this Agreement or at the direction of the Licensed Customer.

8. Disclaimer of Warranties

The Service is provided “as is” without warranties of any kind. Zenova does not guarantee uninterrupted or error-free operation.

9. Limitation of Liability

To the fullest extent permitted by law, Zenova shall not be liable for indirect, incidental, or consequential damages arising from use of the Service or loss of data.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Delaware. Any disputes shall be resolved through Arbitration in Kent County, Delaware.

11. Modifications to Agreement

Zenova may update this Agreement at any time. Continued use of the Service after an update constitutes acceptance of the revised terms.

12. Definitions

For purposes of this Agreement:

“Platform” means the QuoteZen software-as-a-service (SaaS) application provided by Zenova Technologies LLC, including all related modules, interfaces, and functionality.
“Customer Instance” means the dedicated, white-labeled environment of the Platform licensed to a specific organization (the “Licensed Customer”) for its authorized users.
“Licensed Customer” means the organization that has entered into a Subscription Agreement with Zenova Technologies LLC to operate and administer a Customer Instance.
“User” means any individual or entity authorized by a Licensed Customer to access and use the Platform under that organization’s Customer Instance.
“Customer Data” means all data, content, or materials submitted or generated by Users within a Customer Instance.
